ABOUT GALANZ AIR CONDITIONERS

  1. The Galanz Group is an international, world-class integrated white goods brand enterprise, and one of the most influential leading enterprises in the Chinese household electrical appliances industry with establish distribution centers in nearly 200 countries and regions around the world. Galanz manufacture and distribute the Galanz/ GAL brand of HVAC systems/ air conditioners.
  2. Galanz Air Conditioners are the sole distributor of Galanz air conditioners in Southern Africa, providing a wide range of high quality and good-value, residential and commercial HVAC systems under the brands of Galanz or GAL. 
  3. Galanz have traded and operated in the South African air conditioning market for over 20 years and can provide spares for all Equipment sold during that period.
  4. Galanz manufacture and/ or assemble certain HVAC Equipment and Goods, including AC support brackets, locally. These are available for sale locally, regionally and internationally.
  5. “HVAC” is the abbreviation for Heating, Ventilation, and Air Conditioning. HVAC systems are used to provide heating and cooling services to buildings and may be used interchangeably with “air conditioners” and “aircons”. 
  6. Galanz may sell Equipment and Goods, (spares parts, air conditioner AC support brackets and accessories) directly to;
    1. Customers on a collection (uninstalled) basis or on an installed basis;
    2. Other Customers which may be inter alia, outlets, distributors, retailers, fitters or installers, insurance companies, and/ or other commercial entities;
    3. Customers via their national Distributors on an installed basis.

  8. The Galanz and Distributors Technicians are adequately trained to install, maintain and repair Galanz/ GAL HVAC systems/ air conditioners as well as other brands of aircons. 
  9. Milnex 587 is a wholly owned black female company which has a BEE Level 1 accreditation and 135% procurement recognition status.

INTERPRETATION AND DEFINITIONS

Unless otherwise provided, the following terms shall have the following meanings:

  1. “Agreement” means the Warranty Agreement between the Customer and Galanz as set out herein;
  2. “Back to Back” installations refer to a split unit air conditioning system that has two major components including a wall mounted indoor unit with piping running through the wall and straight down to the outdoor condenser unit positioned directly outside;
  3. “BTU or Btu” or British thermal unit is a non-SI, traditional unit of heat; it is defined as the amount of heat required to raise the temperature of one pound of water by one degree Fahrenheit;
  4. “Business Day” means any day other than a Saturday, Sunday or public holiday in the Republic of South Africa (RSA);
  5. “Cash and Carry” whereby goods are paid for in full at the time of purchase and taken away by the purchaser. This also means that the onus and responsibility rests with the Customer for the proper and qualified installation of the HVAC/ air conditioning equipment. 
  6. “CPA” means the Consumer Protection Act, No. 68 of 2008 and the terms and definitions thereof are acknowledged;
  7. “Customer” means the person or entity whose details appear on the quotation, invoice or purchase receipt;
  8. “Equipment” means the HVAC/ air conditioning equipment, including AC support brackets, copper piping, electrical cable and conduit in limited quantities, for installation or installed at the premises of the Customer;
  9. “Galanz” or “Galanz Air Conditioners” means Milnex 587 CC T/A Galanz Air Conditioners (Registration Number: 2006/129956/23, a Closed Corporation duly registered legal entity in accordance with the laws of the Republic of South Africa; and any reference to Galanz includes its sub-contractors, agents and/ or representatives;
  10. “Galanz” or “GAL” are name brand of HVAC/ air conditioning equipment belonging exclusively to Galanz Air Conditioners;
  11. “Goods” means the HVAC/ air conditioning equipment, materials, tools, AC support brackets, items and labour to be or supplied by Galanz;
  12. “HVAC” is the abbreviation for Heating, Ventilation, and Air Conditioning. HVAC systems are used to provide heating and cooling services to buildings and may be used interchangeably with “air conditioners” and “aircons”.
  13. “Manufacturer” means the manufacturer of the Equipment;
  14. “Manufacturer Warranty” means the Warranty provided by the Manufacturer of the Equipment for the period in which the manufacturer Warranty is valid;
  15. “Tacit Acceptance” refers to an acceptance that is inferred without being openly expressed. The purchase of any Galanz HVAC/ air conditioning equipment is regarded as Tacit Acceptance that the Customer has read and unequivocally accepts and agrees to the Warranty Terms and Conditions hereof and as stipulated by Galanz, which may be subject to change from time to time. 
  16. “Unit” means the one or more components of Equipment that make up a system;
  17. In this Warranty, words importing the singular shall include the plural, and vice versa, and words importing the masculine gender shall include the feminine and neuter genders, and vice versa, and words importing persons shall include partnerships, trusts and bodies corporate, and vice versa.
  18. The use of the wording “Equipment” and “Goods” may be used interchangeably. 
  19. The headings to the Clauses of this Agreement are for the ease of reference only and shall not affect the interpretation or construction of the Warranty Agreement.
  20. Any provision of this Agreement that is invalid or unenforceable will be read down where possible so as to be valid and enforceable, or, if that is not possible, will be severed from this Agreement to the extent of its invalidity of unenforceability, without affecting the remaining provisions, which will remain binding on the Parties.

PART I - GENERAL TERMS AND CONDITIONS

  1. General

    For the purpose of this Warranty, a "Galanz Air Conditioners product" is a product which:
    • was manufactured by or on behalf of Galanz Air Conditioners; and
    • bears a Trademark owned or used by Galanz Air Conditioners (generally “GALANZ/ GAL”); and,
    • was sold by an Authorised Reseller or Distributor of Galanz Air Conditioners; and,
    • was purchased in South Africa,
    but does not include any hardware or software which is packaged or sold with a Galanz Air Conditioners product.

    The Customer acknowledges and agrees that the Manufacturer Warranty shall only apply if the Equipment is serviced and/or repaired at such intervals and for such period as is recommended by Galanz and by a qualified Technician.

    Please do not hesitate to contact Galanz should you wish for them to install your HVAC/ air conditioning unit professionally.

    It is essential that the Customer selects an HVAC/ air conditioning unit which is appropriate and has the capacity to cool the desired space or room. Where an undersized air conditioning unit is installed, this will compromise Manufactures Warranty, rendering it null and void.

    When purchasing an air conditioning unit, it is important to consider factors such as the following;
    • Area - Square meters to be covered
    • Ceiling height
    • Construction materials
    • Insulation
    • The amount of direct sunlight coming in through doors and windows
    • Number of people occupying the area
    Galanz will, on request, assist and guide the Customer regarding selection of Equipment commensurate with the area to be cooled. The Galanz website has a calculation tool which will provide an estimated size of the unit required.

    The aforesaid is an estimate and should be followed up with an onsite visit by a certified Technician as there are many other factors that influence the requirements of an air conditioner. However, the onus and consequences rests solely with the Customer regarding equipment selection.

    All HVAC systems/ air conditioners purchased on an uninstalled or Cash and Carry basis, must be installed by a qualified Technician and a Certificate of Installation obtained. The Galanz warranty does not cover defects as a result of incorrect assembly, defective workmanship or faulty material.

  2. The Warranty Period

    1. The period during which this Warranty is in effect will depend upon the Galanz Air Conditioners product to which it relates. In all cases the commencement date for the period is the actual day of purchase, as reflected on the Authorised Reseller's or Distributor’s invoice / receipt provided to you. The period during which each Galanz Air Conditioners product which is the subject of this Warranty is covered by this Warranty is identified in Part II of this Warranty (PRODUCT WARRANTY PERIODS).

  3. Warranty Claim

    1. If you consider that the Galanz Air Conditioners product which you have purchased is not of acceptable quality, has a latent defect, or is otherwise not compliant with the conditions, warranties, undertakings, and legal rights given to you under South African Law (for example, it appears faulty, or does not work at all or properly), you can make a Warranty Claim.
    2. Except where an International Product Warranty has been provided with your Galanz Air Conditioners product, warranty service will only be provided in the specific country where the Galanz Air Conditioners product was originally purchased. For example, if you have purchased the Galanz Air Conditioners product within South Africa, warranty service will be limited to South Africa only.
      1. Notwithstanding the aforesaid, the Warranty as well as services and repairs are limited to South Africa only,
      2. Parts are offered on a commercial basis internationally.
    3. If you purchased this product in South Africa and wish to make a claim under this Warranty, you should:
      1. Contact 086 042 5269;
      2. Visit the nearest Galanz Air Conditioners Branch; or,
      3. Visit www.galanzsa.co.za

  4. Product Online Registration

    1. In order to validate your Warranty, it is essential that your register your product purchase online or by mail within a period of three (3) months from the date of purchase.
    2. The late registration may invalidate your Warranty.
    3. Registration will entail notify Galanz Air Conditioners of the following information per HVAC system:
      1. Name
      2. Address
      3. Contact details
      4. Date of Purchase
      5. Retail outlet details
      6. Make and model
      7. Serial Number – Outdoor Unit
      8. Serial Number – Outdoor Unit
      9. Installer – Company
      10. Installer – Technician
      11. Installation Certificate

  5. Service Frequency

    1. The Warranty is subject to an annual service carried out by Galanz Air Conditioners or a qualified Technician for the full duration of the Warranty period. Should the unit not be serviced as scheduled, the Warranty will become null and void.
    2. In abnormal/harsh weather conditions or where the air conditioning unit is exposed to abrasive or corrosive conditions (i.e. salt sea air, dust, damp, etc.) a reduced service interval of 6 months is recommended and the necessary precautions need to be taken to protect the equipment from corrosion.
    3. In very dusty or dirty environments, more frequent servicing is recommended.
    4. The service must be undertaken within a month, either before or after the anniversary date of the installation of the air conditioning unit.
    5. A service record history must be maintained.
    6. The Warranty will lapse and become null and void in the following instances;
      1. Late service of air conditioning unit
      2. Non-service of air conditioning unit
    7. The onus rests solely with the Purchaser to ensure that the service is undertaken at the appropriate time and any deviations will render the warranty null and void.

  6. Making a Claim

    1. When you make any claim under this Warranty it is essential that you provide a copy of your proof of purchase of the Galanz Air Conditioners product, whether in person, by email or by fax. A claim under this Warranty is not formally made unless and until the proof of purchase is provided. This does not detract from your statutory rights.
    2. You will not be able to gain the benefit of this Warranty without making a claim. A claim must be made within the Warranty Period. This Warranty does not cover any defects not notified to Galanz Air Conditioners within the Warranty Period.
    3. Depending on the age of the HVAC system, a full-service history per unit will be required for evaluation.
    4. If, following receipt of a claim under this Warranty, Galanz Air Conditioners or its agent determine that your claim in respect of a Galanz Air Conditioners product is valid (having regard to the terms of Part II of this Warranty), and:
      1. if the goods can be repaired and the failure to comply with the Warranty is not a major failure or a failure of substantial character, Galanz Air Conditioners will either repair the Galanz Air Conditioners product or, if authorised by Galanz Air Conditioners, pay you for the cost of a repair of the Galanz Air Conditioners product, or replace the Galanz Air Conditioners product with the same or similar product or refund you the cost of a replacement, in each case depending upon what is reasonable in the circumstances and with regard to Galanz Air Conditioner’s statutory obligations and at no cost to you. Goods presented for repair may be replaced by refurbished goods of the same type with equal or greater functionality rather than being repaired. Refurbished parts may be used to repair the goods; or,
      2. if the failure to comply with the Warranty is a major failure or a failure of substantial character, you may reject the goods or require Galanz Air Conditioners to pay you compensation for any reduction in the value of the goods below the price paid or payable by you for the goods.
    5. The standard Galanz Air Conditioners Warranty periods are set out by product type in the table in Part II of this Warranty, although each claim is assessed on its own merits and you may have statutory rights outside the Warranty Period.
    6. If Galanz Air Conditioners provides you with either a replacement or refund, you must immediately transfer ownership of the original Galanz product to Galanz Air Conditioners. Any such resolution by Galanz Air Conditioners of a claim under this Warranty by you does not otherwise detract from any other statutory rights which you might have in the circumstances, including your right to monetary compensation for a valid claim.
    7. If, following receipt of a claim under this Warranty, Galanz Air Conditioners or its agent determine that your claim in respect of a Galanz Air Conditioners product is invalid, Galanz Air Conditioners may charge you for any labour, parts, transport costs or any other costs whatsoever incurred by Galanz Air Conditioners or its agent in assessing your claim.
    8. The acceptance and resolution of all claims made by Galanz are done without prejudice.

  7. Warranty Transferability

    1. This Warranty is transferable to a subsequent owner of a Galanz Air Conditioners product, in the event of the sale of that product, provided that Galanz Air Conditioners is informed in writing thereof within a reasonable time and the subsequent owner's name and contact details are made known to Galanz. Such notice is to be provided to Galanz Air Conditioners at: www.galanzsa.co.za
      1. The notice should identify the name of the previous owner of the Galanz Air Conditioners product, place and date of purchase, model, make and serial numbers (Indoor/ Outdoor units) of the product. The effective transfer of this Warranty does not otherwise alter the terms of this Warranty in any way.
      2. Failure to comply will render this Warranty invalid.
    2. In cases of authorised product or part replacement of the original purchased Galanz Air Conditioners product, the replacement Galanz Air Conditioners product will be subject to the remainder of the original Warranty Period only. You may have statutory rights in respect of a replacement product or part outside this period.

  8. Carry-In and On-Site Repairs

    1. If you wish to make a claim in relation to a Galanz Air Conditioners product which you can reasonably transport to the nearest Galanz Air Conditioners Distributor please bring, forward or send, the Galanz Air Conditioners product to the nearest Galanz Air Conditioners Distributor for assessment.
      1. Such Galanz Air Conditioners products do not include those products dealt with in Clause 8.2.
      2. Whenever possible, the product should be returned in its original carton and packing or alternatively in packing suitable to prevent damage to the product. Galanz Air Conditioners will not accept responsibility for damage to the product during this transport caused by unsuitable or inadequate packing.
    2. If you make a claim under this Warranty in relation to a Galanz Air Conditioners product of the type referred to in Clause 8.3, Galanz Air Conditioners or its agent will send Authorised Galanz Air Conditioners Service Personnel to the place where that Galanz Air Conditioners product is located to assess the warranty claim and, if necessary, repair, the product on-site, at Galanz Air Conditioner’s cost.
    3. On-site services may be available for Galanz Air Conditioners-branded air conditioners. 
      1. In addition, if you believe it is not reasonable for you to bring or send a Galanz Air Conditioners product that is not included as listed above to a Galanz Air Conditioners Distributor, Galanz Air Conditioners will liaise with you to determine the best way in which to inspect and, if necessary, repair the product the subject of the claim under this Warranty.
    4. If this Galanz Air Conditioners product is located in a place which is greater than 30 kilometers (by road) from the nearest Galanz Air Conditioners Distributor, Galanz Air Conditioners will liaise with you to determine the best way in which to inspect and, if necessary, repair the product the subject of the claim under this Warranty.
    5. With any on-site visit, while Galanz Air Conditioners will make all efforts to fix the Galanz Air Conditioners product on-site, there may be instances when the product must be taken back to a Galanz Air Conditioners branch for further testing. In these circumstances, you agree to let any designated Authorised Galanz Air Conditioners Service Personnel pick up and take the product for further testing, at the cost of Galanz Air Conditioners.

  9. Warranty Exclusions

    1. This section identifies what is excluded under this Warranty.
    2. For the avoidance of any doubt, any and all warranties or conditions which are not guaranteed under the Consumer Protection Act, 68 of 2008 (the “CPA”) and which are not expressly included in this Warranty as additional warranties or conditions are excluded.
    3. This Warranty does not extend to loss caused by normal wear and tear, ­water (liquid spillage or ingression), theft, vermin or insect infestation (including without limitation geckos, ants, spiders and frogs).
    4. This Warranty does not cover damage caused by: 
      1. misuse or abusive use of the Galanz Air Conditioners product, include physical abuse;
      2. incorrect operation or not following the operation instructions (as stated in the Product Operation Manual or manufacturer's instructions provided with the Galanz product);
      3. improper installation and assembly, defective workmanship and/ or faulty material;
      4. incorrect or improper maintenance or failure to maintain the Galanz product (including without limitation Annual Service and Cleaning of fi­lters);
      5. failure to clean or improper cleaning of the product;
      6. incorrect voltage or non-authorised electrical connections;
      7. adverse external conditions such as abnormal voltage, power surges, unstable power supply or in-coming power supply from a generator;
      8. adverse external conditions such as acts of God and acts of terrorism; 
      9. damage caused by household pests, insects, vermin, or rodents, or any other act or circumstance beyond Galanz’s control;
      10. fire, lightning, electrical disturbance, corrosion, negligence, accidents and other natural disasters or due to deviation from the recommended application;
      11. exposure to excessive heat, moisture or dampness;
      12. exposure to abnormally corrosive conditions;
      13. rust or normal weathering or corrosive environmental conditions (including without limitation salt spray, sand and dust);
      14. use of non authorised/non-standard, defective or incompatible parts;
      15. repair, modification or other work carried out on the Galanz product other than by Authorised Galanz Air Conditioners Service Personnel or qualified Technician;
      16. use of faulty/leaking batteries.
      17. where the serial number of the unit has been altered, tampered with or removed;
      18. incorrect applications, examples are inter alia, as follows;
        1. Running the unit dry, i.e. without gas (symptom – unit not cooling)
        2. Running the unit at 16C for indefinite periods which causes icing
        3. Unit being undersized for the area
    5. This Warranty does not cover Galanz products purchased in an auction.
    6. The warranty does not cover any losses and damages caused directly or indirectly by the products or consequential damage.
    7. If the Galanz product you are using has been rented or leased by you, and you consider a claim might be made under this Warranty, you should refer the matter to the rental or leasing company immediately and they will handle the matter.
    8. This Warranty does not cover service costs in replacing and maintaining consumable parts which have ceased working through normal wear and tear such as, but not limited to: ­
      1. filters and other parts classi­fiable as a consumable part.
    9. To the extent permitted by law, this Warranty does not cover any Galanz-branded air conditioning units, which have been installed in a movable dwelling such as a caravan (travel trailer) or houseboat. These Galanz products are not designed to be used in such moveable dwellings and their performance may be affected in such contexts.
    10. This Warranty does not cover any Galanz-branded air conditioning unit which is installed, removed or re-installed (other than by Authorised Galanz Air Conditioners Service Personnel) at a location other than the original location at which the unit was fi­rst installed during the period of this Warranty.
    11. This warranty does not cover any Galanz-branded air conditioning unit where the primary use is not climatic human comfort (including without limitation a computer server room).
    12. This Warranty does not cover Galanz products which, at the time you consider a claim might be made under this Warranty, do not bear the original manufacturer’s factory-applied serial number in its original form (for instance where it or the sticker bearing it has been removed, wiped out, rubbed off, or altered).
    13. If, after we have inspected the Galanz product, we are of the opinion that the product or alleged defect is not covered by this Warranty or the consumer guarantees for whatever reason, you will be liable for any labour, parts or transport costs incurred by the Authorised Galanz Service Personnel or Authorised Galanz Service Centre.
    14. For health and safety reasons, if a Galanz branded air conditioning unit is installed in an area which is not easily accessible by a service Technician (including without limitation roofs or above ground level), you may be required to pay additional costs for labour and access to the equipment should service or maintenance be required.
    15. For any air conditioning units installed at high rise and risky areas which are inaccessible or require specialized equipment, Milnex 587cc will impose additional charges for the repair, namely for appropriate equipment necessary for safety purposes.
    16. The warranty does not cover fruitless and wasteful expenditure/ futile call out. In instances where futile call outs occur, a charge for the call out will be raised.
    17. In order to comply with South African electrical regulations, electrical connections for all permanently wired air conditioners must be completed by a qualified electrician or other suitably qualifi­ed and licensed person and provided with an electrical code of compliance where installation is subject to a building consent.
    18. This Warranty does not cover any defects not notifi­ed to Galanz within the Warranty Period, however, you may also have statutory rights outside the Warranty Period.
    19. Neither Galanz Air Conditioners or its authorised service agents/ distributors shall be responsible at any time during or after the period of this warranty for any loss or damage of any nature, whether general, special or consequential which may be caused or sustained by the Purchaser, whether arising from, connected with or relating to any defect, fault or lack in the product, whether such inability is complete or partial.
    20. In cases of dispute, repairs, replacement of spare parts, maintenance and services shall be deemed to be beyond the scope of this warranty unless the Purchaser is able to prove the contrary.

  10. Limitation of Liability

    1. Galanz shall not be liable for any loss, liability, damages, whether direct, indirect or consequential of whatsoever nature and howsoever arising which is caused by or attributed to:
      1. the negligence of the Customer in the installation, use or maintenance of the Equipment;
      2. failure by the Customer to comply with any of its obligations set out herein;
      3. failure by the Customer to adhere to any reasonable instructions of Galanz in respect of the installation, unit size, use or maintenance of the Equipment;
      4. the invalidity of the Manufacturer Warranty due to failure/ delay by the Customer to have the Equipment serviced as required;
      5. a force majeure event.
    2. Galanz does not take any responsibility whatsoever for any damage or performance related problems caused by ingress of any foreign matter or person, animal or plant or part thereof, vandalism, accident, flood, fire, lightning strike, negligence or any other external source or act of God.
